Qualcomm, <span style='color:red'>FTC</span> ask judge to delay ruling to pursue settlement
Qualcomm Inc and the U.S. Federal Trade Commission on Monday asked a federal judge to delay a preliminary ruling in an antitrust case U.S. regulators brought against the mobile chip company in order to pursue settlement talks.In a joint filing in the U.S. District Court for the Northern District of California in San Jose, they asked a judge to delay ruling on the FTC's motion for partial summary judgment for 30 days.The FTC originally filed the lawsuit in early 2017, alleging Qualcomm used anti-competitive practices to maintain a monopoly on the market for mobile phone chips.Qualcomm declined to comment beyond the filing.Settling with U.S. regulators would be a turning point for the San Diego company, which has been defending its business model amid a barrage of lawsuits from large customers such as Apple Inc and Huawei Technologies Inc, as well as dealing with regulatory challenges to its practices around the world.At issue in the civil litigation and regulatory disputes is whether Qualcomm's patent licensing practices, when combined with its chip business, constitute anticompetitive behavior. Regulators in South Korea and Taiwan initially ruled against Qualcomm, but it has appealed the rulings and settled some of them.In Taiwan in August, Qualcomm settled with regulators for $93 million and an agreement to invest $700 million in the country over the next five years.Settling legal disputes will also be critical if Qualcomm Chief Executive Steve Mollenkopf wants to meet the company's ambitious financial goals.Facing a hostile takeover bid earlier this year from Broadcom Inc, Mollenkopf said Qualcomm aimed to earn up to $7.50 in adjusted earnings per share by the company's fiscal 2019, a goal that hinges on cost cutting and patching up relations with customers and regulators.Qualcomm has been able to keep the core of its patent licensing model intact, reaching deals with regulators and big customers like Samsung Electronics Co Ltd to continue allowing its practice of taking the cut of the adjusted selling price of a mobile phone in exchange for the use of Qualcomm patents.The company has yet to smooth over relations with Apple, whose antitrust lawsuit against Qualcomm was filed early last year and has yet to go to trial.

Broadcom Under Investigation by <span style='color:red'>FTC</span>
  Broadcom said an ongoing investigation by the U.S. Federal Trade Commission into whether it engaged in anti-competitive tactics in negotiations and agreements with customers is immaterial to its business.  The FTC probe, first reported by the Wall Street Journal Wednesday (Jan. 17), has been underway for several months and has recently gained momentum with the issuance of multiple subpoenas, according to the report.  “This FTC review is immaterial to our business, does not relate to wireless and has no impact on our proposal to acquire Qualcomm,” a Broadcom spokesman said in a statement emailed Wednesday.  Broadcom is currently engaged in a $105 billion hostile takeover attempt of rival chip maker Qualcomm. On Tuesday, Qualcomm sent a letter to stockholders repeating its board's assertion that the takeover proposal undervalues Qualcomm and urging them to vote for its slate of directors at the March 6 stockholder meeting.  According to the Wall Street Journal report, which cites anonymous sources, the FTC probe focuses on a change made to Broadcom customer contracts that calls for customers to buy a certain percentage of Broadcom's output for a given product, rather than a set number. This structure could be problematic, raising concerns about other customers' access to the products, according to the report.  The FTC and other global regulatory bodies have in recent months moved more aggressively to cut the use of alleged anti-competitive tactics in the semiconductor industry. Last year, the FTC sued Qualcomm, saying the San Diego-based chip vendor engaged in unlawful tactics to maintain a monopoly on cellular chips.

<span style='color:red'>FTC</span> Clears Broadcom's Acquisition of Brocade
  The U.S. Federal Trade Commission (FTC) has approved Broadcom Ltd.'s $5.9 billion acquisition of Brocade Communications Systems Inc. after Broadcom agreed to establish a "firewall" to prevent Brocade from accessing proprietary information about Broadcom customer Cisco Systems Inc.'s fibre channel switches.  The FTC said Monday (July 3) that it voted 2-0 to accept Broadcom's proposal and allow 30 days for public comment. The FTC will decide after Aug. 2 whether to make the proposed consent order final, it said.  Broadcom announced in November it would acquire Broadcom for $5.9 billion to add Broadcom's fibre channel switches to round out its network storage business. The deal calls for Broadcom to subsequently sell Broadcom's Ethernet networking business for an expected $1-2 billion.  The FTC said concerns arose because Broadcom is the ASIC supplier to both Brocade and Cisco, the only two competitors in the worldwide market for fibre channel switches. A complaint issued by the FTC expressed concern that the acquisition could enable Broadcom to use information about the market to unilaterally exercise market power or to coordinate action among Brocade and Cisco, increasing the likelihood that customers would pay higher prices for fibre channel switches and potentially stifling innovation, the FTC said.  The U.S. FTC is a five-member independent agency of the U.S. government charged with promoting consumer protection and the prevention of anticompetitive business practices. However, the commission has had just two members since its former chair, Edith Ramirez, resigned in January.
